WorkOS End-User Agreement
The terms that govern your use of WorkOS across web, mobile, and desktop. WorkOS is a product of ViviScape LLC.

1. Definitions
- "WorkOS" means the cloud-based business operating system developed and provided by ViviScape LLC, accessible at work.viviscape.io and its associated web, mobile, desktop, and API surfaces.
- "User" means any individual or entity that creates an account or accesses the Software.
- "Subscription" means the plan you select (Starter, Pro, or Premium) that determines the features, usage limits, and pricing applicable to your account.
- "User Content" means all data, files, text, images, and other materials you upload, submit, or store within the Software.
- "Authorized Users" means individuals permitted by the account holder to access the Software under their Subscription.
2. License Grant
Subject to this Agreement and payment of any applicable fees, ViviScape grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during the term of your Subscription solely for your internal business operations. This license does not constitute a sale of the Software or any copy thereof.
WorkOS is provided primarily as a cloud-based service (SaaS). No software is installed on your local devices except as necessary for the Software to function — for example, the WorkOS Desktop client, mobile apps, or browser extensions.
3. License Restrictions
You agree not to:
- Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software
- License, sublicense, sell, lease, rent, distribute, or otherwise transfer the Software or access to it to any third party
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
- Use the Software to develop a competing product or service
- Access the Software for benchmarking or competitive analysis purposes
- Use automated means (bots, scrapers, crawlers) to access the Software except through officially provided APIs
- Attempt to gain unauthorized access to the Software, its servers, or any associated systems or networks
4. Account Registration & Security
To use the Software, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide truthful registration information, keep it updated, keep your password secure, notify ViviScape immediately of any unauthorized use, and ensure that all Authorized Users comply with this Agreement. ViviScape may suspend or terminate accounts that contain inaccurate information or violate this Agreement.
5. Multi-Factor Authentication
ViviScape requires or strongly recommends multi-factor authentication ("MFA") for access to WorkOS. Where MFA is offered, you agree to enable and maintain it. Where MFA is required — including administrator accounts, accounts with billing privileges, accounts with access to sensitive User Content, and accounts with API key management privileges — you must enroll before gaining or continuing to receive access to those features.
You agree to use only MFA methods supported by the Software, not to share MFA codes, recovery codes, or authenticator devices, to notify ViviScape immediately if a factor is lost or compromised, and to store recovery codes securely and separately from your primary device. Disabling, bypassing, or attempting to circumvent MFA is a violation of this Agreement. ViviScape is not responsible for losses resulting from your failure to enable, maintain, or safeguard MFA.
6. Subscription Plans & Payment
WorkOS is offered under multiple Subscription plans (Starter, Pro, and Premium), each with different feature sets, usage limits, and pricing. Details of each plan are described on the WorkOS pricing page. ViviScape reserves the right to modify plan features and pricing with reasonable notice.
Paid Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). All fees are quoted in U.S. dollars and are non-refundable except as expressly stated here or required by applicable law. You authorize ViviScape to charge your designated payment method for all applicable fees, and you are responsible for all applicable taxes. Failure to pay may result in suspension or termination of your access. The Starter plan is provided at no cost with limited features; ViviScape may modify, limit, or discontinue the free tier at any time without liability.
7. User Data & Privacy
You retain all ownership rights to your User Content. By using the Software, you grant ViviScape a limited license to process, store, and transmit your User Content solely to provide and improve the Software. ViviScape handles your personal data in accordance with our Privacy Policy, which is incorporated into this Agreement by reference. We implement industry-standard security measures, including encryption in transit and at rest.
Upon termination of your account, you may request export of your User Content for a period of thirty (30) days. After this period, ViviScape may delete your User Content in accordance with our data retention policies.
8. Acceptable Use
You agree to use the Software only for lawful purposes and in compliance with all applicable laws. You shall not use the Software to:
- Upload, transmit, or store content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Violate any local, state, national, or international law or regulation
- Infringe the intellectual property rights of any third party
- Transmit any malware, viruses, worms, or other malicious code
- Interfere with or disrupt the integrity or performance of the Software or its infrastructure
- Impose an unreasonable or disproportionately large load on the Software's infrastructure
- Store or process sensitive data categories (e.g., health records, payment card numbers) unless using a plan and configuration explicitly designed for such data
- Circumvent any usage limits, access controls, or security features
9. Desktop & Offline Use
The WorkOS Desktop client and mobile apps may store a local copy of your User Content on your device to enable offline access and improved performance, synchronizing with the WorkOS portal when connectivity is available. You are responsible for securing the devices on which the Software is installed and for any activity performed through them. The desktop and mobile apps may transmit diagnostic and crash information to ViviScape to help improve stability. Your use of these apps remains governed by this Agreement, and where a platform distributor's terms apply (e.g., Microsoft Store, Apple App Store, Google Play), those additional terms also apply to your installation.
10. Intellectual Property
The Software — including all source code, object code, algorithms, user interface designs, architecture, documentation, trademarks, logos, and any modifications or derivative works — is and shall remain the exclusive property of ViviScape LLC. The WorkOS name, logo, and all related product names, design marks, and slogans are trademarks of ViviScape LLC, and you may not use them without prior written permission. All rights not expressly granted are reserved. Any feedback you provide may be used by ViviScape without restriction or obligation to you.
11. Third-Party Integrations
The Software may integrate with or provide access to third-party services, APIs, and platforms. Your use of any third-party service is subject to that party's own terms and privacy policy. ViviScape is not responsible for the availability, accuracy, or content of third-party services and does not endorse or assume liability for them. Enabling an integration may require sharing certain data with the third party, and you consent to such sharing as necessary for the integration to function.
12. Availability & Support
ViviScape will use commercially reasonable efforts to maintain the availability of the Software but does not guarantee uninterrupted or error-free access. The Software may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control. Support is provided according to the terms of your Subscription plan, and ViviScape may modify support offerings and response times as plan features evolve.
13. Termination
Termination by you
You may terminate this Agreement at any time by canceling your Subscription and ceasing to use the Software. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial billing periods unless required by applicable law.

ViviScape may suspend or terminate your access at any time, with or without notice, if you breach this Agreement; your account is involved in fraudulent, abusive, or illegal activity; you fail to pay applicable fees after reasonable notice; or continued provision becomes commercially impracticable or legally prohibited.
Effect of termination
Upon termination, your license to use the Software immediately ceases. ViviScape may retain or delete your User Content in accordance with our data retention policies and applicable law. Provisions that by their nature should survive termination — including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law — shall survive.
14. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. VIVISCAPE DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT RESULTS OBTAINED FROM ITS USE WILL BE ACCURATE OR RELIABLE. ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE SOFTWARE IS DONE AT YOUR OWN DISCRETION AND RISK.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIVISCAPE LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SOFTWARE, ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, UNAUTHORIZED ACCESS OR ALTERATION OF YOUR TRANSMISSIONS OR USER CONTENT, OR ANY INTERRUPTION OR CESSATION OF THE SOFTWARE. IN NO EVENT SHALL VIVISCAPE'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO VIVISCAPE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
16. Indemnification
You agree to indemnify, defend, and hold harmless ViviScape LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Software, your violation of this Agreement, your violation of any applicable law, your User Content, or any third-party claim related to your use of the Software.
17. Governing Law & Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Elkhart County, Indiana, and the parties consent to the personal jurisdiction and venue of such courts. Before initiating any formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days following written notice of the dispute.
18. Changes to This Agreement
ViviScape reserves the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on this page with a revised "Last Updated" date and, where practicable, by sending notice to the email address associated with your account. Your continued use of the Software after any changes constitutes acceptance of the revised Agreement. If you do not agree, you must stop using the Software and cancel your Subscription.
19. General Provisions
Entire Agreement. This Agreement, together with the Privacy Policy and any applicable Subscription order, constitutes the entire agreement between you and ViviScape regarding the Software.
Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
Waiver. ViviScape's failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign or transfer this Agreement without ViviScape's prior written consent. ViviScape may assign this Agreement without restriction.
Force Majeure. ViviScape is not liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet or infrastructure failures.
